Terms of Service

The Gist

SheetXL Inc provides both open-sourced and commercially sold software components. In addition SheetXL maintains a 'Account Management' service. This is only required to use if you create a license.

For paid licenses, you'll be charged on a yearly basis per developer and per domain. You can cancel anytime, but there are no refunds.

The Terms of Service, SheetXL components, the 'Account Management' service itself, and our prices can change at any time.

That's the basic idea, but You must read through the entire Terms of Service below and agree with all the details before You use any of our sites (whether or not you have created an account).

  1. ACCEPTANCE OF TERMS

    1. These terms and conditions ("Terms") govern your use of the software component ("Component") provided by SheetXL ("Provider"). By using the Component, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the Component.
  2. LICENSE GRANT

    1. Provider grants you a non-exclusive, non-transferable, revocable license to use the Component for your internal or authorized purposes, subject to these Terms.
  3. USE RESTRICTIONS

    1. You may not:
    • Remove or obscure any copyright or trademark notices on the Software Component.
    • Redistribute the Software Component in a standalone form.
    • Reverse engineer, disassemble, or decompile the Software Component.
    • Use the Software Component for any commercial purpose without the prior written consent of Licensor.
    1. Number of Developers
      Each License granted by Provider under this Agreement comes with a defined (limited) number of authorized Developers. Licensee acknowledges, accepts, and undertakes to ensure that the actual number of Developers at any time, whether employees or subcontractors of Licensee, shall not exceed the total number of Developers stated in License Statement. Any breach of this restriction shall be considered a material breach of the Agreement
    2. Domain Restrictions
      Each License granted by Provider has a stated set of domains. Licensee acknowledges, accepts, and undertakes to ensure that the actual domains at any time, whether employees or subcontractors of Licensee, shall match the domains identified in License Statement. Any breach of this restriction shall be considered a material breach of the Agreement
  4. INTELLECTUAL PROPERTY

    1. The Component is protected by intellectual property laws and remains the property of the Provider. You may not reverse engineer, decompile, or disassemble the Component.
  5. SUPPORT AND UPDATES

    1. Provider may, at its discretion, provide updates or support for the Component. Any updates provided may be subject to additional terms and conditions.
  6. WARRANTY DISCLAIMER

    1. The Component is provided "as is" without any warranties, expressed or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
  7. LIMITATION OF LIABILITY

    1. To the extent permitted by law, Provider shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way related to the use of the Component.
    2. You expressly understand and agree that SheetXL Inc, its subsidiaries and affiliates, and its licensors shall not be liable to you for any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss (whether or not SheetXL Inc has been advised of or should have been aware of the possibility of any such losses arising).
  8. Indemnification

    1. You agree to hold harmless and indemnify Provider, and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners (collectively "Provider and Partners") from and against any third party claim arising from or in any way related to (a) Your breach of the Terms, (b) Your use of the Service, (c) Your violation of applicable laws, rules or regulations in connection with the Service, or (d) Your Customer Source Code, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, Provider will provide You with written notice of such claim, suit or action.
  9. TERMINATION

    1. Provider may terminate this license at any time without notice if you fail to comply with these Terms. Upon termination, you must cease using the Component and destroy all copies in your possession.
  10. GOVERNING LAW

    1. These Terms are governed by and construed in accordance with the laws of the State of Delaware.
  11. CHANGES TO TERMS

    1. Provider may update or revise these Terms from time to time. The most current version will be posted on the website and be available on github. Your continued use of the Component after any changes to these Terms constitutes your acceptance of the revised Terms.

The Terms constitute the whole legal agreement between You and Provider and govern Your use of the Service and completely replace any prior agreements between You and Provider in relation to the Service.

You agree that if Provider does not exercise or enforce any legal right or remedy which is contained in the Terms (or which Provider has the benefit of under any applicable law), this will not be taken to be a formal waiver of Provider's rights and that those rights or remedies will still be available to Provider.

Provider shall not be liable for failing or delaying performance of its obligations resulting from any condition beyond its reasonable control, including but not limited to, governmental action, acts of terrorism, earthquake, fire, flood or other acts of God, labor conditions, power failures, and Internet disturbances.
